ViClinic End User License Agreement(EULA) for IBM Agent Catalog
Effective Date: 18 May, 2026
This End User License Agreement(“Agreement”) governs the use of ViClinic software products, AI agents, and related services (“Services”) provided by ViClinic. By accessing or using the Services,the user agrees to comply with this Agreement.
1. License Grant ViClinic grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal healthcare and administrative operations in accordance with applicable laws and this Agreement.
2. Authorized Use Users may use the Services solely for lawful healthcare, operational, documentation, coordination, and administrative purposes. Users agree not to: misuse the Services, attempt unauthorized access, interfere with system integrity or security, reverse engineer or reproduce the Services without authorization, use the Services in violation of applicable healthcare or privacy regulations.
3. AI-Assisted Functionality ViClinic Services may include AI-powered features designed to support healthcare workflows, documentation, coordination, coding, and operational efficiency. AI-generated outputs are intended toassist users and do not replace professional clinical judgment, diagnosis,treatment decisions, or regulatory responsibilities. Users remain responsible for reviewing and validating all outputs before use in clinical or operational workflows.
4. Data Privacy & Security ViClinic implements commercially reasonable administrative, technical, and organizational safeguards designed toprotect data handled within the Services. Users are responsible for: maintaining proper access controls, complying with applicable privacy and healthcare regulations, ensuring lawful use of patient and operational data.
5. Availability & Modifications ViClinic may update, improve, modify, suspend, or discontinue portions of the Services from time to time in order toimprove functionality, security, or compliance.
6. Intellectual Property All software, workflows, AI orchestration logic, documentation, trademarks, and related intellectual property associated with the Services remain the exclusive property of ViClinic and its licensors. This Agreement does not transfer ownership rights to users.
7. Disclaimer The Services are provided on an “asavailable” basis. ViClinic does not guaranteeu ninterrupted operation, error-free performance, or clinical outcomes resultingfrom the use of the Services.
8. Limitation of Liability To the maximum extent permitted bylaw, ViClinic shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Services.
9. Termination ViClinic may suspend or terminate access to the Services in cases of misuse, security concerns, legal violations,or breach of this Agreement.
10. Governing Law This Agreement shall be governed byand interpreted in accordance with the applicable laws of the jurisdictionagreed between the parties, without regard to conflict of law principles.
